Abstract

In many occasions, distinctions between the roles of government and public enterprise are not always clear. Also, conflicts occur between the needs of the country and possibilities of direct enterprise action, reflecting contradictions between public and private interests. This paper discusses those situations and their implications for the governance of state enterprises, which are required to meet goals, often poorly defined, although it is recognized that those same problems are features of State-owned companies. At the same time, some general considerations about governance and management of public enterprises, in which efforts for the alignment of interests and management are more difficult than in private companies, are proposed. This analysis is exemplified with some considerations about the constraints generated by the public nature of Eletrobrás, a federal holding of Brazilian electricity sector companies and with some aspects of the governing structure that this holding designed to control a number of intermediaries of electricity distribution in the North and Northeast of Brazil.
